Constitution of Foreign Language Educators of New Jersey
Article I Name
The name of this organization shall be the Foreign Language Educators of New Jersey, hereinafter referred to as FLENJ.
Article II Mission & Vision
Mission Statement
FLENJ, an organization influencing policy and practice to ensure high quality world languages education in New Jersey schools.
Vision Statement
All students learn to successfully communicate with cultural sensitivity in a language other than English to effectively participate in the interconnected global community of the 21st century.
Article III The Executive Board
- The function of the Executive Board shall be to oversee the operation of the organization in accordance with the mission of FLENJ.
- The Executive Board shall be composed of the following officers:
- President
- President-elect
- Immediate-past president
- Vice-president in charge of programs
- Vice-president in charge of membership
- Secretary
- Treasurer
The president-elect, vice president in charge of programs and vice-president in charge of membership will be elected in even numbered years and the secretary and treasurer will be elected in odd numbered years.
The Board will work to ensure that there are:
- At least two representatives from New Jersey colleges and universities, either public or private
- At least two teacher representatives from secondary education
- At least two teacher representatives from pre-secondary education
- At least two representatives from administration/supervision
The Board shall include the following positions:
- Representative(s) to national/state affiliate groups
- Editor to the FLENJ journal
- Historian/Sunshine
- Awards (professional and student)
- Scholarships
- Advocacy
- Liaison to Publishers
- Contests
- Representative to the New Jersey Department of Education
- Additional position deemed necessary by the president and/or the Board.
Every attempt will be made to balance the composition of the Board regarding geographic location, level of instruction, professional responsibilities and language diversity. FLENJ respects the need to ensure ethnic, racial, and gender diversity on its Board.
Article IV Election of Officers
- All officers shall be elected every second year and shall serve for two years. The president-elect will assume the office of the president at the end of the current president?s term. The president may serve for two terms only.
- Nominees for the elected offices shall be selected by a nominating committee appointed by the Executive Board.
- The nominating committee shall select a slate consisting of one nominee for each elected office. The slate of nominees shall be published on the FLENJ Website by January in advance of the election at the Spring Conference.
- The nominating committee will entertain nominations from the membership.
- Election shall be made by a majority vote of all FLENJ members who vote.
- The newly elected officers shall take office immediately after the election.
- In the event of a vacancy in any office except the presidency, the President with the input from the Executive Board shall appoint a replacement who will serve for the remainder of the term.
- Should the office of the president be vacated, the president-elect shall immediately assume the presidency. If the unexpired term is less than twelve months, the tenure of the president shall last until the next regular election and shall continue for two years thereafter. If the unexpired term is greater than twelve months, the president shall hold office only until the next regular election.
Article V Appointed Positions
- All appointed members of the board may be reappointed by a newly elected president or may be asked to relinquish their positions to an appointee of the new president.
- In the event of a vacancy the president will appoint a replacement to complete the term.
Article VI Meetings
- There shall be two annual meetings of the membership, one in the fall and one in the spring.
- The meeting schedule may be modified as deemed necessary by the Executive Board.
Article VII Amendments
This Constitution may be amended or revised at any time by a two-thirds vote of all members who vote. All revisions must first be accepted by a two-thirds vote of the Executive Board. It will then be published for the consideration of all members prior to the vote of the membership.
By-Laws
- The membership year shall extend from January 1 to December 31.
- The annual dues structure shall be determined by the Executive Board at the May meeting. The annual dues shall be $25.00 (twenty-five dollars). The dues for student members and retirees shall be $5.00 (five dollars).
- A simple majority shall constitute a quorum for Executive Board Meetings.
- Members of the Executive Board who are absent from three meetings in any meeting year may be asked to resign.
- Motions shall be passed at Executive Board meetings by an affirmative vote of the majority of those present.
- Committees may be organized by the Executive Board with procedures approved by the Board.
- These by-laws may be amended or repealed, and the proposed amendments may be adopted by a majority vote of all FLENJ members who vote provided that members have received notice that such action is being considered.
